Terms of Service

4.1 Creating an Account

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Verify your email address (and, where applicable, complete identity verification) as required
• Maintain and promptly update your account information
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and login codes, and you must not disclose them to any other person. You bear the entire risk for any use of your account, whether or not authorized by you. If you permit others to access the Platform using your credentials, you will be responsible for their activities, and we will not be liable for any resulting damages.

You represent and warrant that you will not (i) use the name, photo, or identity of another person with intent to impersonate; (ii) use a name or profile content in which another person has rights without authorization; or (iii) use a name or profile content that Its Furnished deems offensive in its sole discretion.

4.3 One Account Per User

Each User may maintain only one account. We reserve the right to suspend or terminate duplicate accounts.

4.4 Account Termination Rights

We have the right to disable any account, login code, or other identifier at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.

6.1 Host Fees

Hosts may be charged subscription, listing, or membership fees for access to the Platform and its software features. Current fees are displayed on the Platform at the time of purchase. By using our services, Hosts agree to pay all applicable fees. These are fees charged by Its Furnished for access to the Platform and are not payments to or from any Guest.

6.2 Guest Fees

Guests may be charged membership, subscription, or other fees as displayed on the Platform. By using our services, Guests agree to pay all applicable fees.

6.3 Payment Processing

All Its Furnished subscription and membership fees are processed through a third-party payment processor (Stripe). You agree to provide accurate payment information and authorize us to charge your selected payment method for all fees incurred. We do not store your full payment card or bank account numbers. For the avoidance of doubt, Its Furnished processes only its own fees for access to the Platform; it does not process, facilitate, or hold any payments between Hosts and Guests (see Section 2 and Section 7).

6.4 Subscriptions and Automatic Renewal

If you purchase a subscription or membership that renews automatically, the renewal terms (including the renewal price and frequency) are shown at the time of purchase, and by completing your purchase you agree to them. Where required by law, we will send you a renewal reminder. Subscriptions and memberships renew automatically until cancelled. You may cancel at any time through the Platform or by contacting us; cancellation takes effect at the end of the then-current billing period unless otherwise shown on the Platform, and, except as required by law, fees already paid are non-refundable.

6.5 Fee Changes

We reserve the right to change our fees at any time. We will provide at least 30 days' notice before any fee changes take effect for existing subscriptions. Continued use after fee changes take effect constitutes acceptance of the new fees.

6.6 Refunds

All fees are non-refundable unless otherwise specified or required by applicable law.

6.7 Taxes

You are responsible for all applicable taxes associated with your use of the Platform and any rental transactions you enter into.

8.1 Legal Authority

• You have the legal right to list and rent the property
• Your listing complies with all applicable laws, regulations, rules, and ordinances
• You have obtained all necessary permits, licenses, and approvals for mid-term rentals
• Your listing does not violate any lease, homeowners association rules, or other agreements

8.2 Listing Accuracy

• All information in your listing is accurate, complete, and not misleading, and you will keep it up to date
• Photos and descriptions accurately represent the property

8.3 Property Condition

• The property is safe, clean, and habitable, and complies with all applicable health and safety standards
• All amenities and features described are available and functional

8.4 Insurance

• You maintain appropriate insurance coverage, and you understand that Its Furnished does not provide insurance

8.5 Taxes and Legal Compliance

• You are solely responsible for collecting and remitting all applicable taxes and complying with all tax reporting requirements
• You will comply with all applicable fair housing and anti-discrimination laws

8.6 Communications and Agreements

• You are solely responsible for all communications with, and agreements you enter into with, Guests, and you will respond to inquiries in a timely manner

9.1 Accurate Information

• All information you provide is accurate and complete, and you will use the property only for lawful purposes

9.2 Property Rules

• You will comply with all property rules and guidelines set by the Host, treat the property with respect, and are responsible for any damage you cause

9.3 Communications and Agreements

• You are solely responsible for all communications with, and agreements you enter into with, Hosts

9.4 Insurance

• You are responsible for obtaining any insurance coverage you deem necessary; Its Furnished does not provide insurance

9.5 Compliance with Laws

• You will comply with all applicable laws during your stay and will not engage in any illegal activity on the property

10.1 Communication Tools

We may provide messaging, chat, and other communication tools to facilitate contact between Hosts and Guests.

10.2 Monitoring

We reserve the right, but assume no obligation, to monitor, scan, review, filter, and store communications and content sent through the Platform for purposes including safety, security, fraud detection and prevention, anti-circumvention, compliance, quality, and enforcement of these Terms. By using the Platform's communication tools, you acknowledge and consent to such monitoring. We are not responsible for the content of any communications between Users.

10.3 Direct Communication

Once contact is made, Hosts and Guests may communicate directly. We are not responsible for any communications that occur outside the Platform, and you agree not to use the Platform or information obtained from it to circumvent our fees.

10.4 Electronic Communications

By using the Platform, you consent to receiving electronic communications from us, including notices about fees, transactional information, and other information related to the Platform. You agree that any notices, agreements, disclosures, or other communications we send you electronically satisfy any legal requirement that such communications be in writing.

10.5 SMS Terms & Conditions

We send text messages to your mobile number when you request a verification code and, if you turn them on in your account settings where available, as text notifications about activity such as stay requests. Turning a text notification switch on is your consent to receive automated texts from Its Furnished at your verified number. Consent is not a condition of any purchase.

• Message Frequency: Message frequency varies.
• Message and Data Rates: Standard message and data rates may apply.
• Opting Out: Turn off text notifications in your account settings, or reply "STOP" to any SMS message to opt out; after you reply "STOP," you will receive a confirmation message and we will cease sending SMS messages to your number.
• Help and Support: Reply "HELP" to any SMS message, or contact our customer support.
• No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text-messaging originator opt-in data and consent will not be shared with any third parties.

11.1 User Content

You are solely responsible for any content you post on the Platform ("User Content"), including listings, reviews, messages, photos, and profile information.

11.2 Content Standards

You agree not to post User Content that:

• Is false, misleading, or deceptive
• Infringes any third party's intellectual property rights
• Violates any applicable law or regulation
• Is defamatory, obscene, harassing, threatening, inflammatory, or offensive
• Contains viruses or malicious code
• Harasses or discriminates against any person based on race, color, religion, national origin, sex, gender identity, sexual orientation, disability, familial status, or any other protected characteristic
• Advertises or promotes third-party products or services without authorization
• Contains personal information of others (names, addresses, phone numbers, email addresses)
• Promotes any illegal activity
• Impersonates any person or misrepresents your identity or affiliation

11.3 License to User Content

By posting User Content, you grant Its Furnished a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, fully paid-up, freely transferable, and freely sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content in any form for the purposes of operating and improving the Platform and any purpose related to our services. No compensation will be paid to you. You represent and warrant that you own or control all rights necessary to grant this license.

11.4 Content Removal

We reserve the right to remove any User Content at our sole discretion, without notice or liability. We have no obligation to monitor, review, or remove User Content, except as required by law.

11.5 Prohibited Uses

You agree not to use the Platform, including any information or User Content obtained from it, in any way that:

• Alters or impairs the integrity or operation of the Platform
• Is unlawful, harmful, or destructive
• Transmits advertisements, promotional materials, "junk mail," "chain letters," or "spam"
• Attempts to gain unauthorized access to our systems
• Impersonates Its Furnished, an employee, another User, or any other person or entity
• Restricts or inhibits anyone's use of the Platform
• Introduces viruses, trojan horses, worms, or other malicious code
• Uses any information obtained from the Platform, including contact information, to solicit Hosts or Guests, or to circumvent our fees
• Competes with Its Furnished, its subsidiaries, and affiliates

12.1 Review System

We may provide a system for Users to leave reviews and ratings, which serve as a self-regulated system of checks and balances for the protection of Users.

12.2 Eligibility to Review

Only verified Users who have completed a stay arranged through the Platform may leave reviews about their experience.

12.3 Review Standards

By posting a review, you agree that you are a verified User who completed a stay arranged through the Platform; that your review is truthful, accurate, and based on your actual experience; and that it does not contain defamatory, harassing, obscene, hateful, or discriminatory content, personal information of any party, impersonation, or commercial/advertising content.

12.4 Review Manipulation Prohibited

Users may not post fake or fraudulent reviews, incentivize positive reviews, post from multiple accounts, coordinate review campaigns, or post reviews about properties or Users they have not interacted with.

12.5 Review Moderation

We reserve the right to approve, decline, edit, or remove reviews in our sole discretion. We do not verify or endorse reviews, which represent the opinions of individual Users only.

12.6 Consequences

Users posting reviews that violate these Terms risk losing their account with no remediation or refund of any fees paid.

13.1 Platform Content

The Platform and its content, including text, graphics, logos, icons, images, audio and video clips, data compilations, software, the design and styling of our maps, and the design, selection, and arrangement thereof, are owned by Its Furnished or its licensors and are protected by United States and international intellectual property laws (collectively, "Materials").

13.2 Limited License

Subject to these Terms, we grant you a revocable, limited, personal, non-exclusive, and non-transferable license to access and use the Materials and the Platform solely for your personal, non-commercial use. You agree not to use the Platform for any other purpose.

13.3 Restrictions

Except for the foregoing license, you must not copy, modify, or distribute Platform content without authorization; use the Platform for any unauthorized commercial purpose; reverse engineer or extract source code; use automated means to access the Platform; or reproduce, distribute, or exploit any Materials in any manner that would infringe our or others' intellectual property rights. All rights not expressly granted are reserved. If you breach these Terms, this license terminates automatically.

13.4 Trademarks

The Its Furnished name and logos, and all related names, logos, and slogans, are trademarks of Its Furnished or its affiliates or licensors. You must not use them without our prior written permission, including for keyword advertising.

13.5 Maps and Open-Source Components

Portions of the Platform, including our interactive maps, are built using open-source software and third-party map data and services. Our maps use open-source rendering software and map data derived from OpenStreetMap and other sources, used under their respective open-source and other licenses, and location search and autocomplete are powered by a third-party geocoding provider. We claim no ownership of, and the "Materials" do not include, such open-source software or third-party map data, which remain the property of their respective owners and contributors and are used subject to their license terms (including any attribution requirements). Our rights extend only to our own map styling and interface and the selection and arrangement of the content we display.

17.1 Platform Provided "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TO THE FULLEST EXTENT PROVIDED BY LAW, WE DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES AND MAKE NO REPRESENTATIONS REGARDING THE USE OR RESULTS OF THE USE OF THE PLATFORM IN TERMS OF COMPLETENESS, SECURITY, QUALITY, CORRECTNESS, ACCURACY, TIMELINESS, OR RELIABILITY.

17.2 No Warranty of Availability

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAY TERMINATE ALL OR PART OF THE PLATFORM AT ANY TIME, IN OUR SOLE DISCRETION, WITHOUT NOTICE.

17.3 Identity Verification

YOU ACKNOWLEDGE THAT IDENTITY VERIFICATION MAY BE PERFORMED BY A THIRD-PARTY PROVIDER OR BY US AND IS NOT A GUARANTEE OF ANY USER'S IDENTITY, BACKGROUND, SAFETY, OR CONDUCT. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY VERIFICATION, AND A "VERIFIED" STATUS DOES NOT CREATE ANY DUTY OR LIABILITY ON OUR PART.

17.4 Third-Party Content

WE ARE NOT RESPONSIBLE FOR ANY THIRD-PARTY CONTENT, INCLUDING LISTINGS, REVIEWS, OR EXTERNAL WEBSITES, OR FOR ANY HARM RELATED TO YOUR USE OF OR RELIANCE ON ANY THIRD PARTY.

17.5 No Guarantee of Accuracy

WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION ON THE PLATFORM, INCLUDING ANY LISTING, PROPERTY LOCATION, SUITABILITY, PRICING, OR AVAILABILITY INFORMATION. ANY RELIANCE YOU PLACE ON SUCH INFORMATION IS STRICTLY AT YOUR OWN RISK.

17.6 No Duty to Monitor

Its Furnished has the right, but not the obligation, to monitor, verify, or enforce compliance by Hosts or Guests with applicable laws, property conditions, listing accuracy, or agreements between Hosts and Guests. Any monitoring, verification, review, or enforcement activities we undertake (including reviewing content or scanning communications under Section 10) are discretionary and do not create any ongoing obligation or liability or an assumption of any duty.

17.7 User Interactions

WE ARE NOT RESPONSIBLE FOR ANY INTERACTIONS BETWEEN USERS, WHETHER ONLINE OR OFFLINE. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS, AND ITS FURNISHED IS NOT A PARTY TO ANY RENTAL OR OTHER TRANSACTION BETWEEN USERS. YOU SHOULD TAKE REASONABLE PRECAUTIONS WHEN ENTERING INTO ANY TRANSACTION.

17.8 No Confidential Relationship

YOU ACKNOWLEDGE THAT ANY TRANSMISSION TO AND FROM THE PLATFORM IS NOT CONFIDENTIAL AND THAT NO CONFIDENTIAL, FIDUCIARY, CONTRACTUALLY IMPLIED, OR OTHER RELATIONSHIP IS CREATED BETWEEN YOU AND ITS FURNISHED OTHER THAN PURSUANT TO THESE TERMS.

18.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@itsfurnished.com to attempt to resolve the dispute informally. If a dispute is not resolved within 30 days of submission, either party may proceed with formal dispute resolution.

18.2 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ITS FURNISHED EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND. You may only bring claims against Its Furnished in your individual capacity. Claims brought by or against you may not be joined or consolidated with claims brought by or against any other person.

18.3 Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ITS FURNISHED EACH WAIVE THE RIGHT TO A TRIAL BY JURY in any legal proceeding arising out of or relating to these Terms or the Platform.

18.4 Governing Law

These Terms and any disputes arising out of or relating to these Terms or the Platform shall be governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Nothing in this provision limits rights provided under applicable consumer protection laws.

18.5 Venue

Any legal action or proceeding arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in Wyoming. You consent to the personal jurisdiction of such courts and waive any objection to venue.

18.6 Time Limitation

ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE, OR IT SHALL BE FOREVER BARRED, EXCEPT WHERE PROHIBITED BY APPLICABLE LAW.

19.1 Exclusion of Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ITS FURNISHED AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM, ANY CONDUCT OR CONTENT OF ANY USER OR THIRD PARTY, OR UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

19.2 Liability Cap

NOTWITHSTANDING THE FOREGOING, THE TOTAL AGGREGATE LIABILITY OF ITS FURNISHED AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES YOU PAID TO ITS FURNISHED IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

19.3 Essential Purpose

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

19.4 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

23.1 Termination by You

You may delete your account at any time in your account settings or by contacting us at privacy@itsfurnished.com. Deleting your account does not entitle you to any refund of fees paid.

23.2 Termination by Us

We may suspend or terminate your account and access to the Platform at any time, for any reason or no reason, in our sole discretion, without notice or liability. Reasons may include violation of these Terms; fraudulent, illegal, or harmful conduct; failed identity verification; extended inactivity; requests by law enforcement; discontinuation of the Platform; or any action we determine is inappropriate or disruptive.

23.3 Effect of Termination

Upon termination, your right to use the Platform immediately ceases, we may delete your account and User Content, and provisions that by their nature should survive termination will survive, including provisions regarding User Content licenses, disclaimers, limitation of liability, indemnification, general release, dispute resolution, and general provisions.

23.4 No Liability for Termination

Its Furnished shall not be liable to you or any third party for any termination of your account or access to the Platform.

24.1 Modifications to Terms

We reserve the right to modify these Terms at any time by posting the updated Terms on the Platform. We will use commercially reasonable efforts to notify you of material changes; however, we are not obligated to provide specific notice, and you waive any right to receive specific notice of changes. Your continued use after modifications indicates your acceptance of the modified Terms.

24.2 Modifications to Platform

We reserve the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice, and shall not be liable to you or any third party for any modification, suspension, or discontinuation.

26.1 Entire Agreement

These Terms, together with the Privacy Policy and any other referenced policies, constitute the entire agreement between you and Its Furnished regarding the Platform and supersede all prior agreements and understandings.

26.2 Severability

If any provision is found invalid, illegal, or unenforceable, it shall be eliminated or limited to the minimum extent necessary so that the remaining provisions continue in full force and effect.

26.3 Waiver

Our failure to enforce any provision shall not constitute a waiver. No waiver is effective unless made in writing and signed by an authorized representative of Its Furnished.

26.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may freely assign our rights and obligations, including personal information in our possession, as described in our Privacy Policy.

26.5 No Third-Party Beneficiaries

These Terms do not confer any rights on any third party, except as expressly stated herein.

26.6 Headings

Section headings are for convenience only and have no legal effect.

26.7 Electronic Communications

By using the Platform, you consent to receiving electronic communications, which satisfy any legal requirement that such communications be in writing.

26.8 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control.

26.9 Attorneys' Fees

In any action arising out of these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing party.

26.10 Typographical Errors

The Platform may contain technical inaccuracies or typographical errors, and we do not warrant that its content is accurate, complete, reliable, current, or error-free.

26.11 California Residents

Under California Civil Code Section 1789.3, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.
